General Terms and Conditions

1. These Terms and Conditions

The Terms and Conditions apply to the greenpay card Mastercard® Programme, which consists of the User Account and the greenpay card issued by the Issuer and administered by the Programme Manager (together “We”, “Us” or “Our”). By using your card, you agree to be bound by these terms and conditions.  

2. Information about us

2.1. The Programme Manager is transact Elektronische Zahlungssysteme GmbH (“epay“), a company registered in Germany under the registration number HRB 114 439 with its registered office at Fraunhofer Str. 10, 82152 Martinsried/Germany.  

2.2. The greenpay card is issued by Via Payments UAB (“Card Issuer”), partnering with Moorwand Ltd, pursuant to a licence by Mastercard International held by Moorwand Ltd. Via Payments UAB is authorised by the Bank of Lithuania, license number 16, for the issuing of electronic money and payment instruments “) Mastercard and the logo are registered trademarks of Mastercard International Incorporated.  

2.3. The Programme is a non-reloadable virtual gift card programme. You can purchase the activation voucher (voucher“) for your greenpay card in person at local retailers. The voucher contains, among other things, the activation PIN and the serial number for the issuance and activation of your greenpay card within the app. The voucher is valid for 3 years from the end of the year of purchase. The app is the only source for activation – it is not possible to activate the voucher via a website.

 3. Terminology

The definitions set out in this clause shall apply in these Terms and Conditions as follows:  

“Account” means the e-money account linked to the Card where your funds are secured. 

“App” means our greenpay card app. 

“User Account” means your personalised account where you can see all your pending and completed Transactions, Customer Funds balances and initial funds loading / withdrawal transactions. 

“Business Day” means a day on which the Clearing Banks are open for business, excluding Saturdays, Sundays and public holidays in the relevant country.  

“Card” means the virtual greenpay card. This is a virtual non-reloadable Mastercard prepaid gift card where you do not receive a physical card, but can view details of the PAN, expiry date and CVC code via your app and transactions can only take place online.  

“Card Issuer” is Via Payments UAB, a Mastercard affiliate member of Moorwand Limited. Via Payments UAB, partnering with Moorwand Ltd, pursuant to a licence by Mastercard International held by Moorwand Ltd. Via Payments UAB is authorised by Bank of Lithuania license number 16 for the issuing of electronic money and payment instruments. Moorwand Ltd is authorised by the Financial Conduct Authority under the Electronic Money Regulations 2011 (Register No: 900709) to issue electronic money and payment instruments and is registered in England & Wales under No. 8491211. 9DU, registered office Fora, 3 Lloyds Avenue, London, EC3N 3DS, United Kingdom. Moorwand Ltd is working with Via Payments UAB to provide the greenpay card in accordance with this Agreement.  

“Consumer” means a natural person who, in accepting these terms and conditions, is acting for a purpose that is not in the course of a trade, business or profession.  

“E-money” means electronic money, i.e., electronically stored monetary value that represents a claim against us.  

“Electronic Money Institution” means a licensed electronic money institution authorised to issue electronic money and provide payment services (as defined in the Law on Electronic Money and Electronic Money Institutions of the Republic of Lithuania and the Law on Payment Institutions of the Republic of Lithuania).  

“E-Money Issuer” is Via Payments UAB, a company registered in Lithuania under registration number 304531663 for issuing e-money and payment instruments with its registered office at Konstitucijos pr. 7, Vilnius, Lithuania. Via Payments UAB is licensed by the Bank of Lithuania (license number 16).  

“Expiry Date” means the expiry date virtually displayed in the card details in the greenpay card app.  

“PAN” means the primary account number, i.e., the 16-digits card number, which is virtually displayed in the greenpay card app.

“Programme Manager” is transact Zahlungssysteme GmbH (“epay”), a company registered in Germany under registration number HRB 114 439 with its registered office at Fraunhofer Str. 10, 82152 Martinsried/Germany.

“Table” means the fee table set out in Appendix A to these Conditions.  

“Terms” means those terms and conditions that govern the use of the Card that has been or will be issued to You.  

“Transactions” means Transactions referred to in clause 6.1 of these Conditions.  

“Voucher” means the activation voucher which can be purchased in stores and which, after registration, is used to load your user account with the respective loading credit shown on it.

 4. Issuance and activation of the card

4.1. You can purchase your greenpay card activation voucher at local retailers. The activation voucher contains an activation PIN that you can use to activate the voucher via the greenpaycard app. The activation voucher and therefore the funds paid to purchase these vouchers are not regarded as e-money and hence are not safeguarded under the terms of this agreement ahead of the voucher being activated on the greenpaycard app and a virtual card being issued.  

4.2. You must be at least 16 years old to create a user account and use the greenpay card app. When creating a user account in the app, you will be asked to enter and verify your mobile phone number and email address and to set a personal password. You will need your email address and this password (“security data” for the user account) to access your user account in the greenpay card app and, among other things, to check your available balance, to change personal data and to use other functions specified in the app.  

4.3. You may only have one account on which the issued Cards are stored. If we discover that you have more than one account, we may block your Card(s) without notice and terminate this Agreement immediately.  

4.4. You can activate vouchers with a cumulative face value of 150 EUR per month in your app or a maximum of 6 cards, however for each voucher a separate card is issued in the app and the balance is not cumulative.  

4.5 The Card is a non-rechargeable virtual prepaid Mastercard which can only be used to spend the available balance. It is not a debit card, credit card, charge card or guarantee card and is not linked to a bank account. 

5. Transactions

5.1. Where permitted by the relevant Card scheme and/or programme, you can use your Card to purchase goods and services online from any merchant that accepts Mastercard.    

5.2. We will be entitled to assume that You have authorised a Transaction unless we have been informed that the relevant details of the Card have been lost, stolen or misappropriated before the transaction took place. 

5.3. You confirm the correctness of the amount of each transaction that you authorise. 

5.4. Once you have approved a transaction, the transaction cannot be stopped or revoked.  

5.5. Upon receipt of the notification of Your authorisation of a Transaction and the payment order for the Transaction from the Merchant and/or the Authorised Bank, We will normally deduct the value of the Transaction plus any applicable fees and charges from the available funds on Your Card.  

5.6. We shall not be liable if the Merchants or Authorised Banks do not accept the Card or only partially accept the Card for any reason, nor shall we be liable in the event of late or non-delivery of goods or services. In the event of any dispute or complaint of any kind in relation to goods or services or in the exercise of any rights in relation thereto, you should contact the Merchant and/or the Authorised Bank. 

5.7. Our Virtual Card cannot be used to purchase an item online that subsequently requires the presentation of a physical card (in particular, for example, the purchase of certain theatre tickets, hotel accommodation and car rental). 

5.8. For the use of the Card in currencies other than the Card Currency, you must accept the exchange rate used by Mastercard, which can be found in the app. Any changes in exchange rates may be made immediately and without notice. Other exchange rates may apply when reserving or debiting funds. Please be careful when choosing the exchange rate of a merchant, bank or ATM operator as it is often less favourable than the exchange rate of the card scheme. 

5.9. Cash withdrawals (e.g. from ATMs), on-site transactions and recurring payments cannot be made with this card. 

5.10. We have the right to review and change the spending limits of the Card at any time. You will be notified of any such changes via the website www.greenpaycard.eu and/or the App. 

6. Non-execution of a transaction

6.1. In certain circumstances, we may refuse to execute a Transaction that you have authorised. These circumstances include:  

6.1.1. if we have reasonable concerns about the security of the Card or suspect that the Card is being used in a fraudulent or unauthorised manner;  

6.1.2. if, at the time we receive notification of the Transaction, there are insufficient funds to cover the Transaction and all associated fees or if there is a shortfall in the balance on the Card;  

6. 1.3. if we have reasonable grounds to believe that you are in breach of these Terms;

6.1.4. in the event of errors, failures (mechanical or otherwise) or refusals by merchants, payment processors or payment systems processing transactions; or  

6.1.5. if we are legally obliged to do so. 

6.2. If we refuse to process a Transaction, we will notify you as soon as possible of the refusal and the reasons for the refusal, together with the procedure for correcting any factual errors that led to the refusal, where applicable, unless this would be unlawful. If the rejection is justified, we may charge you a fee when we notify you that your payment claim has been rejected. 

7. Access to information on transactions and available funds in the account

7.1. We have set up a secure area in the App where You can view the available balance on your cards and the details of the transactions You have made. You can access this area by following the instructions in the App. You are obliged to keep the access data for the secure area safe and not to pass it on to third parties. 

7.2. If you still have funds on your Card(s) after the termination of these Terms and Conditions, you may cash them out.  Details can be found under 13.2.

8. Loss of the card / refund of transactions

8.1. If the mobile phone on which the greenpay card app is installed is lost or stolen, you are obliged to report this immediately by logging into your user account and using the “card blocking” function (you can also report this via the lost or stolen card telephone number provided on the website). You are obliged to take the same action if you suspect that the card details have been used unlawfully. We will take immediate action to protect the money in your account.  

8.2. These measures must also be taken if you suspect that the card details or login details have been stolen. We will take immediate action to protect the money in your account.  

8.3. If there is money in your Account after the Card has been blocked, we will block your Card permanently and issue you with a new Card immediately if required.  

8.4. You agree to co-operate with our agents, regulators or supervisors, the police and us if your Card is lost, stolen or we suspect fraudulent use of the Card.    

8.5. Failure to comply with this clause may affect your ability to claim losses if we can prove that you deliberately failed to keep the Security Data secure or that you otherwise acted fraudulently, with undue delay or with gross negligence.

8.6. You are liable for any unauthorised transactions on your card up to the value of €50.

9. Blocking the card

We may block the Card so that you cannot make any further transactions if we have reasonable concerns about the security of the Card or suspect that the Card is being used in a fraudulent or unauthorised manner. We will notify you of any such blocking in advance or, if this is not possible, immediately thereafter and will tell you about the reasons for the blocking unless it would compromise reasonable security measures or would otherwise be unlawful. We will unblock the Card and, if necessary, issue a new Card free of charge as soon as the reasons for blocking no longer exist. 

We reserve the right to cancel your Card permanently in certain circumstances after it has been blocked. These circumstances are detailed in 13.3. 

10. Data protection/data security

10.1. We store personal data provided in connection with the Programme, your Account and your Card (e.g., email addresses etc.). The protection of your personal data can be found in the Privacy Policy on the Website. We are responsible for protecting the personal data provided in connection with the Programme from unauthorised access and for notifying you promptly of any changes in this regard and requesting your consent.    

10.2. You agree that we may use your personal data in accordance with these Terms and our Privacy Policy, which can be found on our website. This Privacy Policy contains details of the personal data we collect, how it is used and with whom we share it.  

You have the following rights: 

10.2.1. to find out more about the information relating to the Card Scheme that we share with third parties or that is held by legislators and regulators in the UK and EU, or to obtain a list of the third parties with whom we share information;   

10.2.2. to obtain details of the personal data we hold about you.  

10.2.3. to obtain at any time a copy of this Agreement and the terms and conditions contained herein (which are set out on the website www.greenpaycards.eu). 

11. Fees and Limits

11.1. You are liable for the payment of all charges arising from the use of the Card and your spending is subject to the spending limits we have set for the Card (see table). 

11.2. The fees and spending limits for the card can be found:  

11.2.1. in the table in Annex A attached to this contract;  

11.2.2. in the secured area of the Website; and/or  

11.2.3. in the app.  

11.3. The table below shows the upper limits for loading your card when it is first issued and for subsequent loading:

12. Complaints

12.1. If you would like to file a complaint regarding these terms, please contact our support team via our contact form. 

12.2. In the event that you remain dissatisfied with the response you may raise your issue with Moorwand at operations@moorwand.com.

13. Revocation and termination

13.1. You have the right to withdraw from this Agreement and cancel your Account and/or Card within 14 days from the date of your first Account or Card transaction without giving any reason and without penalty. If you have used the Card, you will not be entitled to a refund of any money spent, including any associated fees.  

13.2. You can cancel your account/card at any time after the initial 14-day cancelation period with a 10-day notice period. The notice period begins with the receipt of the written notice of termination.  

13.2.1. We may charge a redemption fee for any remaining balance if the cancellation and withdrawal request of your available balance is made before the expiry of this agreement or more than 12 months after the expiry of this agreement. Any such redemption fee is set out in the fees table accompanying this Agreement. 

13.3. The Card(s) will be automatically cancelled if:  

13.3.1. your Account is closed for any reason; or  

13.3.2. the issuer stops issuing Cards or Electronic Money for the Programme. In this case, we will contact you to let you know whether another Card or e-money will be issued to you by another issuer or directly by us (if applicable). 

13.4. We may, at any time and without notice, restrict, suspend or terminate Your User Account and Card or refuse to issue or replace a Card or any Account related security information for the following reasons:  

13.4.1. if any of the information you provided to the Scheme when applying for the Account and/or Card was materially incorrect or false or you otherwise failed to comply with the terms of this Agreement;  

13.4.2. to comply with applicable regulations or laws or because we are required to do so by law. 

13.4.3. we have reason to believe that you have used or intend to use your Card in a grossly negligent manner or for a fraudulent or otherwise unlawful purpose or you have behaved in a racist, threatening or abusive manner towards our staff. 

14. Other important conditions

14.1. This Agreement shall be governed by the laws of Austria, with the exception of the rules of banking supervision, which shall be governed by the laws of Lithuania in accordance with the country of origin principle.  

14.2. You consent to the non-exclusive jurisdiction of the courts of the United Kingdom. 

14.3. The Terms and all communications will be in the official language of German or, by agreement between you and us, in another agreed language. We communicate in the official language German or, by agreement, in another language agreed between you and us. You may request a copy of these terms and conditions free of charge at any time during the contractual relationship.  

14.4. Any delay or failure by the Scheme in exercising any right or remedy under this Agreement shall not be construed as a waiver of such right or remedy and shall not preclude its exercise at a later date.   

14.5. The Account and Card is a payment services product and not a deposit or credit or banking product and as such is not subject to the Financial Services Compensation Scheme (FSCS), the Lithuanian Deposit Insurance Scheme or any other EU compensation scheme. However, the E-money issuer will ensure that your funds are adequately safeguarded so that they are protected in accordance with applicable law in the event that the Scheme or we become insolvent. 

14.6. You must have our consent to transfer your rights to another person. You can only transfer your rights or obligations under these Terms to another person if we agree in writing.  

14.7. If we need to make operational changes before we can fully comply with the new legal requirements, we will make these changes as soon as possible. 

14.8. We reserve the right to change these terms for any reason by giving you two months notice by email. You will be deemed to accept the changes if you do not object before the end of the period specified in the notice. If you do not wish to accept the changes, you may terminate these Terms with immediate effect and free of charge by giving us notice at any time before the end of the notice period.  

14.9. If any part of this Agreement does not comply with the Regulatory Requirements, we will not rely on that part but will treat it as if it did in fact reflect the relevant Regulatory Requirements. If we need to make operational changes before, we can fully comply with the new regulatory requirements, we will make those changes as soon as practicable. 

14.10. You will remain liable until the Account and all Cards issued to you are cancelled or expire and all amounts due under this Agreement have been paid by you in full. 

14.11. Subject to 60 days’ notice, the Programme may assign all rights and benefits under this Agreement to a third party and sub-contract all obligations under this Agreement. If we do not receive notice from you before the end of the 60 days, we will assume that you agree to the change. 

 

 

Annex A – Table of fees 

This fee table on one-off and recurring fees summarises the most important product features and information and does not replace the General Terms and Conditions of the Card.
